Terms and Conditions

A. Membership

Merchant will be charged after the 7 days trial, fees followed the platform rate that be announced, and once payment be made , no refund will be done for merchant.
Membership will be terminated if user breach the terms and conditions of this agreement.

B. Services

There is 7 days free trial is eligible to use our service.
Once registered as a merchant at dropshipii, will provided free access for 7 days. After 7 days free access, our dropshipii will automatically charged RM 20/month from your dropshipii credit account in order to keep your account active.

1. Active membership allow merchant to access sync functions:

• Product Sync > Lazada/Shopee
• Order Sync > Lazada/Shopee
• Stock Sync > Lazada/Shopee

Once the membership expired, the above functions will be disabled.

2. Active membership allow merchant to view cost price / suggested price
From time to time Dropshipii may introduce other promotional membership service plan.

C. Performing a transaction.

All product delivery to Dropshipper’s buyers shall be arranged upon deduction of the shipping fees and product cost from the Dropshipper's account. To perform the transaction, Dropshipper must ensure there is sufficient credit balance in the Dropshipper account.
Dropshipper agrees that Dropshipper account credit top up can ONLY be performed through online banking or credit card payment through payment gateway in the Site. Dropshipii do not have other mode of payment facilities such as payment upon delivery or cash payment.
The delivery addresses need to be ensured correctly by Dropshipper before submitting the order. Any cost incurred on wrong delivery due to wrong address be provided shall be borne by the Dropshipper.
All product description and manufacturer or supplier warranty information is correct at the time of publishing. Nexus Concept Online Sdn Bhd reserves the right to amend from time to time. Dropshipper shall not over-claim, over promise, or misrepresent the product quality, performance, warranty, material type, delivery time etc.

Please take note Dropshipii will not accept any request of cancel of order if the order is paid with credit and processed with tracking number. No any changes request shall be accept once done paid with credit ye. No change address, change item, cancel order, or add on request be accepted.

D. Credit Balance Withdrawal

You may not request for a refund after you have top up to your account and completed the payment process. In addition, you will not be entitled to transfer the remaining balance credit to another account.

E. Product Delivery

Product orders from Dropshipper submitted one day before 11.59pm, shall be packed and ready for delivery on the same day. In such cases, and if the destination is located in Malaysian major cities, the parcel is estimated to arrive within 48 hours. However, there might be delay in the product delivery due to unforeseen circumstances. Tracking code and tracking website will be issued within 24-48 hours from time of order.

F. Dropshipper’s Responsibility

Each Dropshipper represents, warrants and agrees that they have full power and authority to accept the Terms in this agreement.
Dropshipper must ensure there is sufficient credit balance in dropshipper's account in Dropshipii whenever there is order from buyers to allow Dropshipii to deduct the product dropship price and shipping cost prior to order fulfilment.
Dropshipper will be required to provide information or material about your entity as part of the registration process on the Site for a Dropshipper account. Each Dropshipper represents, warrants and agrees that (a) such information and material whether submitted during the registration process or thereafter throughout the continuation of the use of the Site or Service is true, accurate, current and complete, and (b) you will maintain and promptly amend all information and material to keep it true, accurate, current and complete.
Upon becoming a Dropshipper at Dropshipii, you consent to authorise Dropshipii to use and store your information.
Dropshipper shall exclusively procure products from Dropshipii especially products of which its product data, images, descriptions are sourced from Dropshipii site and/or through Dropshipii's services on the website.

Each Dropshipper further represents, agrees and warrants that the User Content that you submit on any other websites, social media or e-commerce marketplace, post or display shall:

• be complete, accurate, lawful and true;
• not be misleading, deceptive or false;
• not contain information that is threatening, defamatory, harassing or obscene, libelous objectionable, sexually explicit, offensive, or harmful to minors;
• not contain any link directly or indirectly to any other web Site which includes any content that may violate the Terms;
• not contain information that is discriminatory or promotes discrimination based on nationality, race, gender, disability, religion, sexual orientation or age.

Each Dropshipper further represents, agrees and warrants and that you shall:

• carry on your activities in accordance with the Terms and any applicable Additional Agreements;
• carry on your activities on the Site in compliance with any applicable laws and regulations;
• not impersonate any person or entity, misrepresent yourself or your affiliation with any person or entity;
• not engage in phishing and spamming;
• not use the Services or Site to defraud any person or entity;
• not engage in any other unlawful activities (including without limitation those which would constitute a criminal offence, give rise to civil liability, etc) or abet or encourage any unlawful activities;
• not involve attempts to reproduce, exploit, copy, or expropriate Dropshipii’s various proprietary directories, databases and listings;
• not involve any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information;
• not involve any scheme to undermine the integrity of the data, systems or networks used by Dropshipii and/or any user of the Site or gain unauthorized access to such data, systems or networks;
• not engage in any activities that would otherwise create any liability for Dropshipii or our affiliates.

When the order status is showed as Processed at your Dropshipii ‘ My order ’ page, merchant is encourage not to accept cancel request from buyer.
Note: If warehouse already processed your order, but merchant accept the cancel request of buyer, Dropshipii may not refund to you.

Dropshipper agrees to provide all necessary information, materials and approval, and render all reasonable assistance and cooperation necessary for Dropshipii’s provision of the Services, evaluating whether Dropshipper has breached the Terms and/or handling any complaint against the Dropshipper. If Dropshipper’s failure to do so results in delay in, or suspension or termination of, the provision of any Service, Dropshipii shall not be obliged to extend the relevant service period nor shall be liable for any loss or damages arising from such delay, suspension or termination.
Dropshipper acknowledges and agrees that Dropshipii shall not be required to actively monitor nor exercise any editorial control whatsoever over the content of any message or material or information created, obtained or accessible through the Services or Site. Dropshipii does not endorse, verify or otherwise certify the contents of any comments or other material or information made by any Dropshipper. Each Dropshipper is solely responsible for the contents of their communications and may be held legally liable or accountable for the content of their comments or other material or information.
Dropshipper shall be responsible to ensure there are sufficient credit balance in dropshipper's account in Dropshipii and ensure that all orders received from e-marketplaces are paid through the credit system so that Dropshipii will be able to deliver the items to buyers on time.
Dropshopii will not proceed any pending orders and will not be borne if there is any cost incurred due to Dropshipper late processing those pending orders.
Dropshipper who failed any of these responsibilities are considered breach of the Terms.

1. Where, in using the Services and/or accessing the Website, any of your actions cause any losses to the Company, you shall be liable for and shall compensate the Company for all costs and expenses incurred or suffered. In the event of any inquiries, complaints or claims raised by third parties due to the said actions by you, you shall be solely responsible and liable to the said third parties to resolve such inquiries, complaints or claims at your own cost and shall indemnify and keep indemnified and hold the Company harmless at all times in respect thereof.

2. We may at our sole discretion, whether in full or in part, deduct any costs and expenses incurred or suffered by us from any Remittance due to you, and remit to you the remainder of the Remittance after deduction of such costs and expenses, if any. For the avoidance of doubt, the exercise of the foregoing discretion by us shall not be deemed as a waiver of our other rights and remedies against you and we reserve the right to recover from you, whether in full or in part, any costs and expenses incurred or suffered by us.

3. Please take note Dropshipii is free of responsible and will not bear on any costs that incurred due to the damage caused by the logistics courier service when delivery. Please take note that certain Dropshipii Supported Logistics Partners does not allow compensation claim for certain nature of product (Example goods that containing liquid, foods and are fragile). For sellers that sells such item, please do ensure you have packaged the item safely to minimize the risk of being damaged in transit.

G. Breaches by Dropshipper

If any Dropshipper breaches any Terms or if Dropshipii has reasonable grounds to believe that any Dropshipper is in breach of any the Terms, Dropshipii shall have the right to suspend or terminate the Dropshipper’s account or subscription of any Service without any liability to the Dropshipper.
Dropshipii shall also have the right to refuse, ban or restrict any and all current or future use of any other Service that may be provided by Dropshipii.
Dropshipii shall have the right to overwrite and/or remove the product data from the dropshipper's online store in e-marketplace.

Without limiting the generality of the provisions of the Terms, a Dropshipper would be considered as being in breach of the Terms in any of the following circumstances:

• Dropshipii believes that the Dropshipper’s actions may cause financial loss or legal liability to Dropshipii or our affiliates, the item buyer from e-marketplaces or any other Users.
• Dropshipii has reasonable grounds to suspect that such Dropshipper has used a stolen credit card or other false or misleading information in any transaction with a counter party,
• Dropshipii reserves the right to cooperate fully with governmental authorities, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Furthermore, Dropshipii may disclose the Dropshipper's identity and contact information, if required by a government or law enforcement body, an injured third party, or as a result of a subpoena or other legal action. Dropshipii shall not be liable for damages or results arising from such disclosure, and Dropshipper agrees not to bring any action or claim against Dropshipii for such disclosure.

If a Dropshipper is in breach of the Terms, Dropshipii reserves the right to publish the records of such breach on the Site. If such breach involves or is reasonably suspected of involving dishonest or fraudulent activities, Dropshipii reserves the right to disclose the records of such breach to the authorities. Such Dropshipii affiliates may execute limitation on, suspend or terminate the Dropshipper’s use of all or part of the services provided by such affiliates to the Dropshipper, take other corrective actions, and publish the records about the Dropshipper’s breach of the Terms on the website operated by or controlled by such Dropshipii affiliates.

H. Dropshipii Referral program Terms Of Use

How the Program Works

1. Program Participation, Generally

• To participate in the Program, Referrers should visit Dropshipii.com/Refer and follow the on-screen instructions to refer friends or colleagues to the program by opening the Dropshipii shared URL shared by the Referrer in a web browser;
• Individuals who receive a referral via a Referrer are "Friends" (or, singly, a “Friend”). An "Eligible" Referrer who is fully compliant with these Terms and Conditions may receive "Reward(s)" for every "Qualified Referral” (all terms in quotes to be understood as defined below).
• By participating in the Program, a Referrer represents that he or she has her Friends’ prior consent to provide their contact information.

2. Eligible Referrer
To be "Eligible," a Referrer must:

• Be at least 18 years old; and
• Be a legal resident of Malaysia

3. Making a Referral
A Referrer must register at dropshipii.com/Refer to make a referral. No previous purchase is required (purchasers and non-purchasers alike are eligible). Once a Referrer refers a Friend, he/she will be provided with a confirmation email, and will be contacted if a Qualified Referral is made by the referred Friend within 12 months.
Referrers must respect the spirit of the Program by only referring real individuals who meet the requirements of these Terms and Conditions. Referrers cannot refer themselves. For example, a Referrer may not create multiple or fake accounts with Dropshipii or participate in the Program using multiple or fake email addresses or identities.

4. Qualified Referrals
A “Qualified Referral” occurs when all the following conditions are met:

• The Referred Friend signs up for a Dropshipii account when they arrive at the Dropshipii website and;
• When the Referred Friend completed the purchase of Dropshipii products thorough the dropshipii.com, the Referrer will receive a Referral credit;
• The Referred Friend had not previously made a purchase with Dropshipii under any email address or alias
• The Referred Friend is a) a legal resident of Malaysia and b) at least 18 years old.

5. Earning Rewards
Referrer shall receive one (1) reward (each, a “Reward”) in the form of credit point to the referrer Dropshipii account for each verified spending by Qualified Referrer on the dropshipii platform. The Referrer will receive 2% of the total spend of the first level referred friend via dropshipii.com. When the referred friend referred another referee to register and purchase through dropshipii.com, the primary referrer will also be received 1% of the total spending of the second level referred friend. Example: You (Referrer) have referred one friend (Agent B) to sign up and purchased in the Dropshipii.com, then your dropshipii account will be reward 2% of total spending of Agent B that performed via the Dropshipii.com in the form of credit point. Furthermore, if the Agent B has referred another friend (Agent C) to sign up and purchased in the Dropshipii website, you as the primary referrer will also be rewarded 1% of total spending of Agent C in Dropshipii.com in the form of credit point as well as the Agent B will be reward 2% of total spending of Agent C. If the Referrer has reached the maximum of third level of referral level, any additional or subsequent referrals made by a Referrer will not be considered Qualified Referrals and thus not be entitled to the Reward. Up to maximum of (2) Referral level may be enjoyed by each Referrer. Only active Referrer will enjoy this referral reward program.


6. Verified Qualified Referrals
Rewards are subject to verification. Dropshipii may delay a Reward for the purposes of investigation. Dropshipii may also refuse to verify and process any transaction Dropshipii deems, in its sole discretion, to be fraudulent, suspicious, in violation of these Terms and Conditions, or believes will impose potential liability on Dropshipii, its subsidiaries, affiliates or any of their respective officers, directors, employees, representatives and agents. All of Dropshipii's decisions are final and binding, including decisions as to whether a Qualified Referral, or Reward is verified.

7. Transfer and Value of Credit and Rewards
Rewards have no monetary value and may not be redeemed for cash. Rewards are not transferable and may not be auctioned, traded, bartered or sold. Upon termination of the referral program or any portion thereof for any reason, any unredeemed Rewards that have not yet been delivered to Referrer are forfeited.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES PROVIDED BY DROPSHIPII ON OR THROUGH THE SITES ARE PROVIDED "AS IS", "AS AVAILABLE" AND “WITH ALL FAULTS”, AND DROPSHIPII HEREBY EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY WARRANTIES OF CONDITION, QUALITY, DURABILITY, PERFORMANCE, ACCURACY, RELIABILITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ALL SUCH WARRANTIES, REPRESENTATIONS, CONDITIONS, AND UNDERTAKINGS ARE HEREBY EXCLUDED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DROSHIPII MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE VALIDITY, ACCURACY, CORRECTNESS, RELIABILITY, QUALITY, STABILITY, COMPLETENESS OR CURRENTNESS OF ANY INFORMATION PROVIDED ON OR THROUGH THE SITES; DROSHIPII DOES NOT REPRESENT OR WARRANT THAT THE MANUFACTURE, IMPORTATION, EXPORT, DISTRIBUTION, OFFER, DISPLAY, PURCHASE, SALE AND/OR USE OF PRODUCTS OR SERVICES OFFERED OR DISPLAYED ON THE SITES DOES NOT VIOLATE ANY THIRD PARTY RIGHTS; AND DROPSHIPII MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING ANY PRODUCT OR SERVICE OFFERED OR DISPLAYED ON THE SITES.

Any material downloaded or otherwise obtained through the Site is done at each User's sole discretion and risk and each User is solely responsible for any damage to Dropshipii’s computer system or loss of data that may result from the download of any such material. No information or advice, whether in the form of oral or written, obtained by any User from Dropshipii or through or from the Site shall create any warranty not expressly stated herein.

Each User hereby further agrees to indemnify and save Dropshipii, our affiliates, directors, officers and employees harmless, from any and all losses, damages, claims, liabilities (including legal costs on a full indemnity basis) which may arise, directly or indirectly, as a result of any claims asserted by Third Party Rights claimants or other third parties relating to products offered or displayed on the Site. Each User hereby further agrees that Dropshipii is not responsible and shall have no liability to you, for any material posted by others; including defamatory, offensive or illicit material and that the risk of damages from such material rests entirely with each User. Dropshipii reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with Dropshipii in asserting any available defenses.

Dropshipii shall not be liable for any special, direct, indirect, punitive, incidental or consequential damages or any damages whatsoever (including but not limited to damages for loss of profits or savings, business interruption, loss of information), whether in contract, negligence, tort, equity or otherwise or any other damages resulting from any of the following.

• the use or the inability to use the Site or Services;
• any defect in goods, samples, data, information or services purchased or obtained from a User or any other third party through the Site;
• unauthorized access by third parties to data or private information of any User;
• statements or conduct of any User of the Site; or;
• any matters relating to Services however arising, including negligence.

The limitations and exclusions of liability to you under the Terms shall apply to the maximum extent permitted by law and shall apply whether or not Dropshipii has been advised of or should have been aware of the possibility of any such losses arising.

K. Force Majeure

Under no circumstances shall Dropshipii be held liable for any disruption or delay or failure of the content or services delivered through the Site resulting directly or indirectly from acts of nature, forces or causes beyond our reasonable control, including without limitation, Internet failures, electrical power failures, computer, telecommunications or any other equipment failures, strikes, labor disputes, riots, insurrections, civil disturbances, shortages of labor or materials, flood, fires, explosions, storms, acts of God, governmental actions, war, orders of domestic or foreign courts or tribunals or non-performance of third parties.

L. Intellectual Property Rights

Dropshipii is the sole owner or lawful licensee of all the rights and interests in the Site and the Site Content. The Site and Site Content embody trade secrets and other intellectual property rights protected under worldwide copyright and other laws. All title, ownership and intellectual property rights in the Site and Site Content shall remain with Dropshipii, our affiliates or licensors of the Site Content, as the case may be. All rights not otherwise claimed under the Terms or by Dropshipii are hereby reserved.

"Dropshipii" and related icons and logos are registered trademarks or trademarks or service marks of Dropshipii,

Dropshipii may have independent third parties involved in the provision of the Services (e.g., the authentication and verification service providers). You may not use any service mark, trademark or logo of such independent third parties without prior written approval from such parties.
